OrderWallet — Terms and Conditions

1. Acceptance of Terms

By downloading, installing, or using the OrderWallet mobile application ("App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the App. Your continued use of the App constitutes your acceptance of any updates or modifications to these Terms.

2. Description of Service

OrderWallet is a mobile application that allows users to:

Save and manage favorite restaurant orders
Create and coordinate group orders with friends and contacts
Share saved orders with other users
Browse restaurant menus
Present saved orders as a QR code or text message for a direct hand-off to the restaurant

OrderWallet acts as a coordination platform. We are not a restaurant, food delivery service, or payment processor. The availability of restaurants and menu items is subject to third-party service availability.

3. User Accounts and Responsibilities

To use certain features of the App, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain the security and confidentiality of your account credentials
Notify us immediately of any unauthorized access to your account
Accept responsibility for all activity that occurs under your account
Not create multiple accounts or share your account with others

You must be at least 18 years of age to create an account and use the App. OrderWallet reserves the right to suspend or terminate accounts that violate these Terms.

4. No Payment Processing

OrderWallet does not process payments. The App does not collect, store, or transmit payment card details or any other financial information, and OrderWallet does not sit between you and the restaurant financially. A saved order is a communication tool: the restaurant reads it, rings it up, and you pay the restaurant directly, exactly as you would without the App.

All purchases are made directly with the restaurant and are subject to the restaurant's own prices, policies, and terms
OrderWallet charges no fees on your orders and adds no markups to menu prices
Refunds, billing errors, and payment disputes are strictly between you and the restaurant

Prices and totals shown in the App are estimates based on catalog data and may differ from what the restaurant actually charges.

5. Group Orders

The group order feature allows users to invite others to participate in a shared order. By using this feature, you agree that:

Group order creators are responsible for managing their group and coordinating the order
All participants in a group order are individually responsible for their own items and for settling directly with the restaurant
OrderWallet is not responsible for disputes between group order participants
Invitations to group orders may be delivered by push notification, or by a text message the inviter sends from their own Messages app
Group order details, including participant names and order items, are visible to all members of the group

6. Contact Sharing

OrderWallet offers an opt-in contact sharing feature that allows users to find and connect with friends on the platform. By using this feature, you agree that:

Contact sharing is entirely opt-in and you control your visibility to other users
You will only share contacts who have given you permission to do so
You may revoke contact sharing permissions at any time through the App settings
OrderWallet will not sell or distribute your contact information to third parties

7. SMS Messages

OrderWallet itself sends only one kind of SMS: a one-time account verification code, delivered via Twilio Verify, when you enter your phone number during signup. Tapping “Send code” is your consent to receive that single message; message and data rates may apply under your carrier plan.

Group-order invitations to people who are not yet on OrderWallet are not sent by OrderWallet. The App hands a pre-filled message to the inviter's own Messages app, and the inviter taps Send themselves — the text travels peer-to-peer from the inviter's personal phone number. OrderWallet does not operate an A2P SMS messaging campaign and does not send recurring SMS notifications. Carriers are not liable for delayed or undelivered messages, and no mobile information is shared with third parties or affiliates for marketing or promotional purposes.

8. Push Notifications

OrderWallet may send push notifications to your device for order updates, group order activity, and other relevant information. You can manage push notification preferences at any time through your device settings. Disabling push notifications does not affect the core functionality of the App.

9. Intellectual Property

All content, features, and functionality of the App, including but not limited to text, graphics, logos, icons, images, software, and the overall design, are the property of OrderWallet and are protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or otherwise exploit any content from the App without prior written consent from OrderWallet.

10. Limitation of Liability

To the fullest extent permitted by applicable law, OrderWallet and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the App.

OrderWallet is not responsible for:

The quality, accuracy, or availability of restaurant menus or items
Transactions between you and a restaurant, including pricing, refunds, or billing disputes — all purchases are made directly with the restaurant
Disputes between users, including group order participants
Any loss or damage resulting from unauthorized access to your account

In no event shall OrderWallet's total liability exceed the amount you have paid to OrderWallet, if any, in the twelve (12) months preceding the claim.

11. Termination

OrderWallet reserves the right to suspend or terminate your account and access to the App at any time, with or without cause, and with or without notice. You may also terminate your account at any time by contacting us at support@orderwallet.net. Upon termination, your right to use the App will immediately cease, and any data associated with your account may be deleted.

12. Changes to Terms

OrderWallet reserves the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms within the App or on our website. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically for any updates.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising out of or relating to these Terms or the use of the App shall be resolved in the appropriate courts of competent jurisdiction.
